Label Bridge Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Label Bridge website, registration page, application process, account portal, online tools, shipping-label workflow, first-mile workflow, and related platform features (collectively, the “Platform”).
The Platform is operated by K&S Prosperity Holdings LLC d/b/a Label Bridge (“Label Bridge,” “LB,” “Provider,” “we,” “us,” or “our”), located at:

By creating an account, submitting an application, accessing the Platform, clicking “I agree,” or using any Label Bridge workflow, you agree to these Terms and to our Privacy Policy.
If you use the Platform on behalf of a company, you represent that you are authorized to bind that company. In these Terms, “you,” “Client,” or “user” means both the individual user and the business or organization on whose behalf the Platform is used.
Purpose of These Terms
These Terms apply to:
website access;
account registration;
account application;
sales review;
account portal use;
general Platform access;
shipping-label workflow;
first-mile logistics workflow;
website forms;
non-contractual pre-service interactions with Label Bridge.
These Terms do not replace any signed Master Services Agreement, Statement of Work, Rate Sheet, onboarding form, service order, payment authorization, ACH authorization, or other written agreement between you and Label Bridge.
If you enter into a written services agreement, that agreement and any applicable SOW will control the actual commercial services, pricing, payment obligations, operational scope, liability, risk transfer, service level, and dispute terms.
If there is a conflict between these Terms and a signed services agreement, the signed services agreement controls for the specific services covered by that agreement.
Business Use Only
The Platform is intended for business users.
You may not use the Platform if:
you are under 18 years old;
you are not authorized to act for the business you register;
your business, goods, shipments, payments, or transactions violate applicable law, carrier rules, sanctions rules, export-control rules, customs rules, platform policies, or Label Bridge policies;
you intend to misuse carrier labels, carrier credentials, rate outputs, tracking numbers, APIs, accounts, or Label Bridge systems.
Account Registration and Sales Review
Submitting a registration application does not guarantee approval.
Label Bridge may approve, reject, pause, suspend, or request additional information for any account application.
You agree to provide accurate, complete, and current information, including:
name;
work email;
phone number;
company name;
website or store URL;
service interest;
estimated monthly parcel volume;
sales channel;
ship-from / pickup location information;
invitation code, if applicable;
payment and billing information if requested;
other information requested during registration, sales review, onboarding, or service setup.
You must promptly update your information if it changes.
Label Bridge may contact you by email, phone, or other business communication methods for account review, onboarding, service qualification, fraud prevention, compliance review, support, and commercial follow-up.
Applicant Status and Client Status
Submitting a registration application makes you a prospective Label Bridge client only.
A service relationship begins only after Label Bridge approves your account and you accept the applicable Terms, SOW, service order, onboarding form, rate sheet, or other written service configuration.
Once approved, and once you use any Label Bridge label, manifesting, parcel staging, pickup coordination, consolidation, or first-mile tender workflow, you acknowledge that you are using Label Bridge as a first-mile logistics / 3PL services provider for the approved service scope.
You further acknowledge that any label generated through the Platform is tied to the approved Label Bridge service workflow and may not be used independently from that workflow.
Email as Login ID
Your email address will be used as your primary login ID.
You are responsible for keeping login credentials secure.
You must promptly notify Label Bridge if you suspect:
unauthorized account access;
credential compromise;
account misuse;
unauthorized label generation;
unauthorized shipment activity;
unauthorized payment activity.
You are responsible for activity under your account unless caused directly by Label Bridge’s gross negligence or willful misconduct.
Account and Application Status
Your application or account may have one or more statuses, including:
draft;
submitted / pending sales review;
needs additional information;
approved;
rejected;
suspended;
terminated.
Label Bridge may request additional information before approving or activating any service.
If your application is pending, you may be allowed to update certain application or profile information, including company information and ship-from / pickup location information, subject to Platform functionality.
Invitation Codes
Label Bridge may use invitation codes for sales review, partner referrals, campaigns, controlled onboarding, or internal testing.
An invitation code does not guarantee:
account approval;
service availability;
pricing;
carrier access;
credit terms;
account activation;
access to any specific feature.
Label Bridge may revoke, expire, limit, or reject any invitation code at any time.
Platform Scope
The Platform may support account registration, sales review, account setup, shipment-related workflow, label-related workflow, billing-related workflow, carrier tender support, reporting, integrations, or other operational functions made available by Label Bridge.
Unless a signed SOW states otherwise, Platform access does not mean Label Bridge is obligated to provide:
warehousing;
order fulfillment;
inventory management;
pick and pack;
returns processing;
customs brokerage;
freight forwarding;
motor carrier services;
insurance;
retailer compliance services;
Walmart, Amazon, PO, BOL, ASN, routing, or appointment workflows;
client carrier account management;
any specific carrier discount, rebate, rate, service level, delivery speed, or claim result.
Any such services must be separately approved in writing.
First-Mile / 3PL Services Relationship
After account approval and acceptance of the applicable Terms, SOW, service order, onboarding form, rate sheet, or written service configuration, Client acknowledges that Label Bridge is being engaged as a first-mile logistics and third-party logistics services provider for the limited services approved by Label Bridge.
Those services may include:
receipt and validation of Client Data;
label generation;
label printing;
manifest submission;
parcel staging;
pickup coordination;
consolidation;
tender or handoff of Client Parcels to designated carriers or tender points.
Client acknowledges that Label Bridge’s role is operational and service-based.
Label Bridge is not providing standalone label resale, carrier-account resale, postage brokerage, postage marketplace access, or open-market access to carrier rates.
Label Bridge Role
Label Bridge may act as a first-mile operational intermediary, collector, consolidator, parcel processor, and logistics services provider for label processing, manifesting, parcel staging, pickup coordination, consolidation, and tender to carriers or tender points.
Label Bridge is not a common carrier, motor carrier, freight forwarder, customs broker, insurer, or guarantor of carrier performance unless a separate written agreement expressly states otherwise.
Carriers, postal operators, consolidators, marketplaces, retailers, payment processors, APIs, banks, and other third parties remain independent third parties.
Carrier delivery, transit time, scans, routing, loss, damage, delays, service suspensions, surcharges, claims decisions, and carrier restrictions remain subject to carrier terms and third-party rules.
No Standalone Label Resale / No Postage Marketplace
Label Bridge is not a standalone postage marketplace, shipping-label reseller, carrier-authorized reseller, or carrier account resale platform.
Any labels, tracking numbers, manifests, rate outputs, carrier credentials, or carrier-account-enabled services made available through the Platform are provided only as part of Label Bridge-controlled first-mile logistics, parcel processing, manifesting, staging, pickup coordination, consolidation, and carrier tender services.
Client does not purchase standalone labels from Label Bridge.
Client does not receive direct rights to Label Bridge carrier accounts, carrier contracts, discounts, rebates, incentives, credentials, pricing methodology, or master-account programs.
Client may not resell, broker, transfer, duplicate, alter, reuse, scrape, reverse engineer, or issue Label Bridge-generated labels, tracking numbers, manifest credentials, API outputs, or rate outputs to any third party.
Mandatory Parcel Tender to Label Bridge / K&S
Client may use Label Bridge-generated labels only for Client Parcels that are tendered into a Label Bridge-approved first-mile workflow.
Unless Label Bridge expressly authorizes otherwise in a signed SOW, written service order, onboarding form, written Platform instruction, or other written approval, Client must tender each Parcel bearing a Label Bridge-generated label only to:
a Label Bridge or K&S facility;
a Label Bridge or K&S pickup driver;
a Label Bridge-approved first-mile pickup partner;
a Label Bridge-designated staging location;
a Label Bridge-approved consolidation location;
another Provider-approved tender point identified in the applicable SOW or written instruction.
Client may not deposit, drop off, inject, or tender any Parcel bearing a Label Bridge-generated label directly to USPS, UPS, FedEx, DHL, OnTrac, regional carriers, carrier retail locations, postal counters, carrier drop boxes, carrier facilities, carrier drivers, third-party drop-off locations, or other non-approved tender points unless expressly approved by Label Bridge in writing.
Unauthorized Direct Carrier Handoff
Any direct carrier handoff, carrier drop-off, carrier injection, or third-party tender of a Parcel bearing a Label Bridge-generated label outside the approved Label Bridge first-mile workflow is unauthorized.
If Client conducts or attempts unauthorized direct carrier handoff, Label Bridge may:
suspend or terminate Client’s account;
void or cancel labels where possible;
refuse future label generation;
deny service credits;
reject claim support;
charge Client for all carrier charges, rerates, corrections, penalties, chargebacks, and third-party fees;
require additional deposit or pre-funded balance;
restrict carrier service options;
require written remediation before reactivation;
report or escalate conduct that may impair Label Bridge carrier programs, carrier accounts, banking, compliance, or legal position.
Client remains responsible for all losses, charges, delays, penalties, account damage, carrier disputes, claim denials, and compliance issues arising from unauthorized direct carrier handoff.
Conditional Label Use
A Label Bridge-generated label is conditional on Client’s compliance with:
these Terms;
the applicable SOW or service order;
carrier rules;
Label Bridge parcel tender requirements;
pre-funded balance requirements;
restricted goods rules;
data accuracy requirements;
approved first-mile workflow requirements.
A label may be treated as unauthorized if used for any parcel, shipper, consignee, good, route, carrier handoff, or tender method not approved by Label Bridge.
No Direct Carrier Relationship Through Label Bridge Labels
Use of the Platform or a Label Bridge-generated label does not create any direct carrier-account right, carrier contract right, carrier discount right, refund right, rebate right, audit right, pass-through right, or enforcement right for Client.
Carrier accounts, credentials, integrations, discounts, rebates, incentives, pricing methodology, routing logic, and master-account programs used by Label Bridge remain Label Bridge confidential information.
Client’s rights are limited to the approved services expressly made available by Label Bridge.
Client Data Accuracy
You are responsible for the accuracy, completeness, legality, and timeliness of all information you submit or authorize others to submit through the Platform, including:
account information;
company information;
ship-from / pickup location information;
consignee or recipient information;
shipment information;
weights and dimensions;
service levels;
customs or product information;
retailer or marketplace information;
carrier account information;
billing and payment information;
funding information;
platform or API credentials.
Label Bridge may rely on information provided by you or your authorized users without independent verification.
You are responsible for correction charges, address errors, rerates, shipment delays, returns, retailer penalties, claim denials, legal or compliance issues, carrier adjustments, payment failures, or other losses caused by inaccurate, incomplete, late, or unlawful data.
Ship-from / Pickup Location Information
During registration, Label Bridge may request a primary ship-from or pickup location.
Registration may allow partial location information, such as ZIP code and state, depending on the current account-review process.
Providing partial address information does not mean the address is verified, complete, or usable for shipping, label generation, billing, pickup routing, or formal operations.
Label Bridge may require additional address information, validation, documentation, or operational confirmation before services begin.
Address information may be marked as:
not provided;
ZIP / state only;
incomplete;
unverified;
verified;
manual override.
Incomplete or unverified addresses may restrict certain Platform features or services.
Prohibited Use
You may not use the Platform to:
resell, broker, transfer, duplicate, reuse, alter, scrape, or reverse engineer labels, tracking numbers, APIs, rate outputs, credentials, or carrier account access;
use labels for parcels not approved by Label Bridge;
tender parcels outside the approved Label Bridge / K&S first-mile workflow;
tender prohibited, illegal, counterfeit, IP-infringing, stolen, sanctioned, restricted, hazardous, undeclared, or non-compliant goods;
submit false, incomplete, misleading, or unauthorized information;
access another user’s account;
interfere with Platform security or operation;
bypass billing, funding, carrier, compliance, or approval rules;
use the Platform for fraudulent, abusive, unlawful, or high-risk activity;
violate carrier, retailer, marketplace, platform, customs, export-control, sanctions, privacy, anti-corruption, payment, or banking rules.
Label Bridge may suspend or terminate access immediately if it reasonably suspects fraud, sanctions risk, account misuse, label resale, unauthorized direct carrier handoff, prohibited goods, improper payment request, or conduct that may harm Label Bridge, K&S, clients, carrier programs, banking relationships, partners, or legal/compliance position.
Carrier Accounts and Rates
Unless a signed SOW states otherwise, any carrier accounts, credentials, integrations, discounts, rebates, incentives, pricing methodology, routing logic, commercial terms, and master-account programs used by Label Bridge remain Label Bridge confidential information.
You do not receive ownership, audit, pass-through, refund, rebate, discount, enforcement, direct access, or third-party-beneficiary rights in Label Bridge carrier accounts, carrier contracts, negotiated rates, credentials, routing logic, pricing methodology, rebates, or incentives.
Payments and Funding
If services are approved, Label Bridge may require pre-funded carrier, label, postage, or service balance before:
label generation;
manifesting;
parcel release;
pickup coordination;
tender;
other services.
Label Bridge may accept payment by:
ACH;
credit card;
wire transfer;
Zelle;
other approved payment methods.
Credit card payments, if enabled, may be processed by Stripe or another approved third-party payment processor. Label Bridge does not intend to store full credit card numbers directly.
You remain responsible for:
carrier charges;
label charges;
postage;
surcharges;
accessorials;
adjustments;
rerates;
address corrections;
duties;
taxes;
penalties;
returns;
chargebacks;
payment processor fees;
bank fees;
third-party charges tied to your account or parcels.
Payment terms, credit limits, pre-funded balance rules, ACH authorization, invoice timing, and billing details must be stated in a signed agreement, SOW, rate sheet, onboarding form, or other written approval.
All payments must be made through approved company payment channels. Label Bridge does not authorize cash payments, personal-account payments, undocumented commissions, kickbacks, side payments, or off-platform payment instructions.
Stripe and Third-Party Payment Processing
If Stripe or another payment processor is used, payment information may be processed by that third-party processor under its own legal, privacy, and data-processing terms.
You agree to provide accurate payment information and authorize Label Bridge and its payment processors to process payments, verify payment methods, prevent fraud, handle disputes, and maintain payment records as permitted by applicable law and written payment terms.
Label Bridge is not responsible for third-party payment processor outages, rejected transactions, banking delays, processor holds, chargeback decisions, or third-party processor rules outside Label Bridge’s reasonable control.
How payment data is handled is further described in the Label Bridge Privacy Policy.
Platform Availability
Label Bridge will use commercially reasonable efforts to maintain the Platform.
Label Bridge does not guarantee uninterrupted, error-free, or fully compatible Platform availability.
The Platform may be unavailable or degraded due to maintenance, bugs, system changes, cyber events, API failures, third-party outages, carrier disruptions, network failures, labor shortages, warehouse disruptions, payment processor outages, weather, government action, or other events beyond Label Bridge’s reasonable control.
Integrations and Third-Party Services
If you connect Shopify, Amazon, Walmart, OMS, WMS, ERP, carrier accounts, retailer portals, APIs, EDI, payment processors, email accounts, or other third-party systems, you are responsible for having authority to connect those systems and for maintaining permissions, credentials, account standing, and security.
Label Bridge is not responsible for third-party platform outages, permission limits, rejected submissions, rule changes, unauthorized changes not caused by Label Bridge, or data errors originating from your systems or third-party systems.
Intellectual Property
The Platform, website, software, workflows, designs, interfaces, databases, APIs, documentation, templates, routing logic, rate logic, analytics, trademarks, logos, and other Label Bridge materials are owned by Label Bridge, K&S, or their licensors.
These Terms grant you only a limited, revocable, non-exclusive, non-transferable right to access and use the Platform for approved business purposes.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, scrape, benchmark, or create derivative works from the Platform except as expressly permitted in writing.
Confidentiality
Each party will protect the other party’s non-public business, technical, pricing, operational, customer, account, and system information using commercially reasonable care.
Label Bridge confidential information includes, without limitation, carrier contracts, carrier pricing, master account credentials, routing logic, margins, rebates, incentives, pricing methodology, integrations, platform configuration, and non-public business processes.
Privacy
Your use of the Platform is also governed by the Label Bridge Privacy Policy, which describes what information Label Bridge collects, how it is used, how it is shared, and how it is protected.
You are responsible for ensuring that you have the right to provide any personal information, recipient information, consignee information, customer information, shipment data, payment data, business contact information, or operational information to Label Bridge.
If you provide personal information about your customers, employees, contractors, consignees, or other individuals, you represent that you have provided any required notices and obtained any required rights, permissions, or consents.
Compliance
You agree to comply with all applicable laws and regulations, including laws and rules relating to:
anti-corruption;
anti-bribery;
sanctions;
export controls;
customs;
books and records;
privacy and data security;
carrier rules;
retailer and marketplace rules;
prohibited goods;
payment controls;
banking rules;
consumer product compliance.
Label Bridge may refuse, pause, quarantine, suspend, report, or reject activity if compliance, fraud, sanctions, safety, carrier-account, payment, privacy, or legal risk arises.
Disclaimers
The Platform is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Label Bridge disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, and compatibility with your systems.
Label Bridge does not guarantee:
account approval;
carrier acceptance;
specific rates;
specific delivery times;
shipment recovery;
claim approval;
third-party platform acceptance;
retailer or marketplace compliance outcomes;
no surcharges or adjustments;
no system downtime;
no payment processor holds or disputes;
future availability of any feature.
Limitation of Liability
To the maximum extent permitted by law, Label Bridge will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including lost sales, lost revenue, lost savings, business interruption, loss of goodwill, data loss, carrier delays, marketplace penalties, retailer chargebacks, payment processor holds, third-party service failures, or lost business opportunities.
For claims relating only to website, registration, account application, or Platform access and not governed by a signed services agreement, Label Bridge’s total liability will not exceed USD $100.
For claims covered by a signed services agreement, the liability limits in that agreement control.
Indemnification
You agree to defend, indemnify, and hold harmless Label Bridge, K&S, affiliates, owners, officers, employees, contractors, vendors, carriers, payment processors, and service providers from claims, losses, fines, penalties, costs, liabilities, damages, and expenses arising from:
your data, content, instructions, products, parcels, packaging, markings, or labels;
inaccurate, incomplete, late, or unlawful information;
prohibited or restricted goods;
violation of law, carrier rules, retailer rules, marketplace rules, sanctions, export controls, customs, hazmat, privacy law, anti-corruption law, or payment rules;
misuse of labels, accounts, credentials, APIs, tracking numbers, payment methods, or the Platform;
unauthorized direct carrier handoff;
use of labels outside the approved Label Bridge / K&S first-mile workflow;
claims by your customers, consignees, vendors, marketplaces, retailers, payment processors, carriers, or banks;
your breach of these Terms or any applicable agreement.
Suspension and Termination
Label Bridge may suspend or terminate access immediately if:
you breach these Terms;
your information is false, incomplete, or misleading;
your account creates fraud, legal, payment, carrier, security, sanctions, privacy, or compliance risk;
you misuse labels, accounts, credentials, APIs, payment methods, or the Platform;
you use Label Bridge-generated labels outside approved first-mile workflows;
you tender Label Bridge-labeled parcels directly to carriers without approval;
you fail to maintain required funding or pay undisputed charges;
you submit prohibited goods or unauthorized shipments;
continued access may harm Label Bridge, K&S, clients, carriers, partners, systems, payment processors, banking relationships, or legal/compliance position.
You may stop using the Platform at any time, but you remain responsible for obligations incurred before termination.
Sections that by their nature should survive termination will survive, including payment, confidentiality, data use, intellectual property, compliance, prohibited use, indemnification, limitation of liability, dispute resolution, and governing law.
Changes to the Platform and Terms
Label Bridge may modify the Platform, features, forms, workflows, registration process, account review process, and these Terms from time to time.
If we make material changes to these Terms, we may notify users by posting the updated Terms, updating the effective date, sending email notice, or using other reasonable notice methods.
Continued use of the Platform after updated Terms become effective means you accept the updated Terms.
Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Unless a signed agreement states otherwise, the state and federal courts located in San Bernardino County, California will have jurisdiction over disputes relating to these Terms, Platform access, account registration, provisional remedies, injunctive relief, collections, security enforcement, and related claims.
